1. Parties

These terms govern freight transportation services provided by Foxconn ("Carrier") to the broker identified in the portal account ("Broker").

2. Booking

A load is booked only when Broker has electronically signed the Rate Confirmation generated by the portal. Requests may be withdrawn before acceptance.

3. Rates and payment

Rates are as stated on the signed Rate Confirmation. Broker pays within the payment terms assigned to Broker's account by Carrier (Net 30, 45 or 60 days) and shown on the invoice, from receipt of a complete invoice packet (invoice, rate confirmation and signed proof of delivery).

4. Cancellations

Broker may cancel a booked load through the portal stating a reason. Carrier may decline further requests from Brokers with repeated late cancellations.

5. Insurance and compliance

Broker keeps a valid operating authority and provides current W-9, void check and Certificate of Insurance. Access to the loadboard may be suspended when documents expire.

6. Records

Electronic signatures, timestamps and IP addresses recorded by the portal are binding evidence of agreement.
